These Terms & Conditions ("Terms") govern your access to and use of the services provided by The Solutionist Agenda ("TSA", "we", "us", or "our") at thesolutionistagenda.com, including the AI coaching platform, executive advisory services, and related offerings. By creating an account or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By registering an account or otherwise using our platform, you confirm that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Services

TSA provides the following services:

• AI Solutions Coach: an AI-powered decision-support tool trained on strategic and executive frameworks.
• Executive Coaching: one-to-one coaching and advisory engagements.
• Strategic Advisory: advisory engagements for boards, leadership teams, and organisations.
• Membership Plans: subscription access to platform features, resources, and content.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable prior notice.

3. Account Registration

You may register using your email address and a password. You are responsible for maintaining the security of your account and for all activity carried out under it. Notify us immediately of any suspected unauthorised access at supportthesolutionistagenda.com.

4. Payments & Billing

• All fees are displayed at the point of purchase. Prices are inclusive of applicable taxes unless stated otherwise.
• Payments are processed securely via Stripe. By providing payment details, you authorise TSA to charge the applicable fees.
• Subscription fees are billed on a recurring basis (monthly or annually) until cancelled.

5. Cancellations & Refunds

• Subscriptions: You may cancel at any time. Access continues until the end of the current billing period; no partial refunds are issued for unused time.
• Exceptional circumstances: Requests outside these terms will be considered on a case-by-case basis at our discretion.

6. Intellectual Property

All content on the TSA platform, including text, decision frameworks, tools, graphics, and software, is the intellectual property of The Solutionist Agenda or its licensors. You may not reproduce, distribute, or create derivative works without our express written consent.

7. Confidentiality

All information shared during coaching and advisory engagements is treated as strictly confidential, except as required by law, as set out in our Privacy Policy, or with your explicit consent.

8. Disclaimer of Warranties

TSA's services, including AI-generated outputs and coaching advice, are provided for informational and decision-support purposes only. They do not constitute legal, financial, medical, or regulatory advice. You are solely responsible for decisions made based on information provided through our platform.

AI vs. Human Consultant; Corporate Decisions

• AI vs. expert clarity. Unless a session is expressly stated to be delivered by our human consultant, outputs, analyses and document reviews on the platform are AI-generated. You must not represent AI-generated work as the work of the human consultant.
• Professional development only. The platform provides educational and professional-development insights. Ultimate corporate decisions - including hiring, firing, financial or strategic decisions - rest entirely with the client's executive management.
• No training on your data. Your inputs are not used to train public or third-party AI models (see our Privacy Policy).
• AI liability. We are not liable for decisions made in reliance on AI-generated output, which may contain errors or inaccuracies.

9. Limitation of Liability

To the maximum extent permitted by applicable law, TSA shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our services. Our total aggregate liability to you shall not exceed the amount paid by you to TSA in the twelve months preceding the claim.

10. Acceptable Use

You agree not to use the platform for unlawful purposes, attempt to reverse-engineer our AI models, impersonate any person or entity, or transmit harmful or disruptive content. We reserve the right to suspend or terminate accounts that violate these standards.

11. Termination

Either party may terminate the relationship at any time. Upon termination, your access to the platform will cease. Clauses relating to intellectual property, confidentiality, disclaimer of warranties, and limitation of liability survive termination.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these Terms from time to time. We will provide reasonable notice of material changes. Continued use of our services after such notice constitutes your acceptance of the updated Terms.
